Business Organizations - LAW 645

3 Hours

A study of the basic legal problems concerning the organization, management, operation, and liquidation of the major business entities in the United States, emphasizing general partnerships and corporations. Topics include the fiduciary duties owed by the participants, the relationship between ownership and control of the enterprise, and problems associated with limited liability protection for the owners of the enterprise. Open to MBA students.
